By accessing our website, submitting inquiries, or placing wholesale orders, you agree to be bound by these Terms.
If you do not agree, you may not use our Services.
1. Nature of Our Services
KBL operates as a B2B wholesale and distribution platform specializing in curated Korean beauty products.
We supply verified and trend-driven products to business buyers only.
Our Services are not intended for individual retail consumers.
We reserve the right to approve or reject account registrations or orders at our discretion.
2. Eligibility
By using our Services, you represent that:
- You are acting on behalf of a registered business or commercial entity
- You have authority to bind the business to these Terms
- All information provided is accurate and complete
We may request verification documents, including business registration details.
3. Orders & Acceptance
All orders are subject to acceptance by KBL.
An order is not considered final until:
- Payment has been confirmed (if prepaid terms apply), or
- A written confirmation has been issued by KBL
We reserve the right to:
- Refuse or cancel orders
- Limit quantities
- Modify product availability
- Discontinue products without notice
4. Pricing & Payment
Prices are listed in the currency indicated on the website or quotation.
Prices:
- Are subject to change without prior notice
- Do not include shipping, customs duties, taxes, or import fees unless explicitly stated
Payment terms may include:
- Prepayment
- Wire transfer
- Payment via Shopify-supported processors
- Other agreed B2B arrangements
All payments must be made in full before shipment unless otherwise agreed in writing.
5. Shipping & Logistics
KBL arranges shipping based on agreed terms.
Shipping costs are calculated separately unless included in quotation.
Risk Transfer
Unless otherwise agreed:
- Risk transfers to the buyer once goods are handed over to the carrier.
Delivery timelines are estimates and not guaranteed.
We are not responsible for delays caused by:
- Customs clearance
- Carrier delays
- Force majeure events
- Government regulations
6. Repacking & Packaging
KBL may conduct professional repacking to reduce breakage risk during international transport.
Repacking does not alter product contents or authenticity.
While we implement protective measures, we cannot guarantee zero damage once goods are in carrier custody.
Claims for visible shipping damage must be reported within 48 hours of receipt.
7. Product Information & Liability
We strive to provide accurate product descriptions.
However:
- Product packaging may change by manufacturer
- Ingredients may vary between production batches
- Buyers are responsible for ensuring compliance with local import and regulatory requirements
KBL does not provide regulatory approval services unless separately agreed.
We are not liable for resale performance, market conditions, or end-consumer claims.
8. Returns & Cancellations
Due to the nature of wholesale transactions:
- All sales are generally final.
Returns are not accepted unless due to verified shipment error.
Order cancellations must be requested before shipment confirmation.
Once shipped, cancellation is not possible.
9. Intellectual Property
All website content including:
- Logos
- Branding
- Text
- Graphics
- Product curation materials
are owned by KBL or licensed partners.
You may not reproduce, distribute, or use any materials without written consent.
10. Limitation of Liability
To the maximum extent permitted by law:
KBL shall not be liable for:
- Indirect or consequential damages
- Loss of profit or business opportunity
- Delays beyond our reasonable control
Our total liability shall not exceed the total amount paid for the specific order giving rise to the claim.
11. Indemnification
You agree to indemnify and hold KBL harmless from any claims, damages, or expenses arising from:
- Your misuse of the Services
- Violation of applicable laws
- Resale or distribution activities in your jurisdiction
12. Force Majeure
KBL shall not be liable for failure or delay caused by events beyond reasonable control, including:
- Natural disasters
- War
- Government restrictions
- Labor disputes
- Transportation disruptions
13. Relationship with Shopify
Our website is hosted by Shopify Inc., which provides the e-commerce infrastructure.
Certain transactions may be processed through Shopify and its authorized payment providers.
Shopify’s terms and privacy practices may also apply.
14. Governing Law
These Terms shall be governed by the laws of the Republic of Korea.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Seoul, Republic of Korea, unless otherwise agreed in writing.
15. Changes to These Terms
We may update these Terms at any time.
The revised version will be posted on this website with an updated “Last Updated” date.
Continued use of the Services constitutes acceptance of the updated Terms.
